Prizes subject to competitions sponsored by ROLI as described herein (“Competition”) will be awarded in accordance with these Official Rules (the “Rules”).
BINDING AGREEMENT: You may not participate in the Competition and are not eligible to receive the prize described in these Rules unless You agree to these Rules and are in compliance with the ROLI Terms of Use and End User License Agreement (referred to as the “ROLI Terms of Use”), as may be applicable, which are incorporated into these Rules. Please read these Rules and ROLI Terms of Use prior to entry to ensure You understand and agree. You agree that Your participation in the Competition constitutes agreement to these Rules and ROLI Terms of Use.
SPONSOR: The Competition is sponsored by ROLI, Ltd., with a business address of 2 Glebe Road, London E8 4BD and its employees, officers, directors and agents ("Sponsor" or "ROLI").
ELIGIBILITY: The Competition is open to persons who reside in the UK, USA (excluding Puerto Rico), Canada (excluding the Province of Quebec), and Australia who are 18 years of age or older as of the time of entry, and except Sponsor and members of the immediate families (parent, child, sibling and spouse and their respective spouses, regardless of where they reside) and households of each, whether related or not related, are not eligible to participate or win a prize in the Competition. If a Canadian resident wins a prize, that entrant must also answer correctly within a 5 minute time period a mathematical skill-testing question without the benefit of any calculating devices before the prize will be awarded.
HOW TO ENTER—NO PURCHASE NECESSARY TO ENTER OR WIN: To enter the Competition, (1) log into or create a ROLI account through the free ROLI NOISE app; (2) download the free ‘Wu-Tang The Saga Continues by Mathematics’ Studiopack for the free NOISE app; (3) create a beat using sounds from the Studiopack using a minimum of two 2 tracks; (4) record the beat as a video, a screen recording, a screengrab of the NOISE app, a photograph of the phone with the app loaded on it or a photo of the entrant playing the Studiopack; and (5) share the beat on Instagram (or Insta Stories) social media page using the hashtag #WuBeat and tag and follow both @we.are.roli and @36chambers. Each valid submission is referred to as an “Entry”. You may enter more than one Entry per Competition. You may also be asked to provide additional information if you are selected as a winner, such as your name, email and mailing address.
COMPETITION MATERIAL REQUIREMENTS: Your Entries must be original works. Remember, your Entries for the Competition are subject to the ROLI Terms of Use. Please read the full ROLI Terms of Use, which provides, among other restrictions, that you may not export your Entries that include the third party soundpack content, for any commercial purposes or unauthorized activities, and any content you provide in your Entries will not violate any other third party right or contain any unlawful material or material that is offensive, discriminatory that promotes hatred or violence. You will be fully responsible for any claims arising from your breach of the ROLI Terms of Use. Sponsor reserves the right, in its sole discretion, to disqualify any Entries that do not meet these Rules or the ROLI Terms of Use or are otherwise incomplete.
PROMOTION SCHEDULE: The Competition Period is from 7 December - 21 December 2017 at 23:59 GMT. Competition schedules are subject to change.
NUMBER OF QUALIFIED ENTRANTS/ODDS OF WINNING: Odds of winning are dependent on the number of entrants in total and the number of Entries per entrant. In the event there are fewer than 10 eligible entrants, the Competition may not take place and there will be no prizes awarded. A purchase will not increase your odds of winning.
JUDGING AND NOTIFICATION TO WINNERS:
The winner will be selected by the judge on 24 December 2017 from 10 Entries shortlisted by ROLI. All Contest Entries will be evaluated and scored based on the following “Criteria”:**
(i) creativity and originality; as an overall package, the best combination of high quality beat and most innovative or entertaining visual.
(ii) adherence to these Rules and ROLI Terms of Use.
**Entrants understand that there is a certain level of subjectivity involved with voting. Judges’ decisions shall be final and binding.
Tie-breaker: In the event of a tie at any level of judging, the judges, in their discretion, will (i) reevaluate the tied Contest Entries at the tied level according to the Criteria until the tie is broken; or (ii) decide to award each tied entrant a prize.
If a potential winner is disqualified for any reason or unable to accept the prize, ROLI reserves the right, in its discretion, to award the prize to another qualified entrant. The winner(s) will be notified via your social media account within 48 hours of selection of the winner.
@36chambers and/or @we.are.roli Instagram accounts will share a selection of Entries twice a week during the Competition Period on Instagram, but these Entries will not be automatically shortlisted to win.
COMPETITION PERIOD: 7 December - 21 December 2017 at 23:59 GMT.
Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Sponsor and are subject to ROLI’s Terms of Use. Prizes which are ROLI subscriptions will generally be awarded within a week of the end of the Competition. Hardware prizes will be shipped to the winners as soon as the winner confirms their shipping addresses. The prizes are non-transferable and no cash alternative is available. No prize transfer, substitution or assignment by winners is permitted. If a prize (or part of a prize) is unavailable, the Sponsor, in its discretion, reserves the right to substitute the original prize (or that part of the prize) with an alternative prize to the equal monetary value and/or specification, unless to do so would be prohibited by law.
CHANGES OR ADDITIONS: These Rules are subject to change, and entrants will be notified on the Competition Page of any additional rules or changes to these Rules.
TAXES: Awards of prizes to potential winners may be subject to the express requirement that they submit all documentation requested by ROLI to permit it to comply with all applicable state, federal and local tax reporting. If a potential winner fails to provide such documentation or comply with such laws, the prize may be forfeited and ROLI may, in its sole discretion, select an alternate potential winner.
GOVERNING LAW AND JURISDICTION: If you are a UK citizen, these Rules shall be governed by the laws of England and Wales without regard to its conflict of law rules and you consent to the exclusive jurisdiction of the courts located in London, UK. If you are a US citizen, these Rules shall be governed by the laws of New York without regard to its conflict of laws rules and you consent to the exclusive jurisdiction of the state and federal courts located in New York County. If you live outside the US or UK, you agree to the exclusive laws and jurisdiction of New York.
DISQUALIFICATION: ROLI reserves the right to disqualify any entrant from the Competition if it is prohibited in the entrant’s jurisdiction or, in ROLI’s sole discretion, it reasonably believes that the entrant has attempted to undermine the legitimate operation of the Competition by cheating, deception, providing false information, engaging in any unfair playing practices or annoys, abuses, threatens or harasses any other entrants, ROLI users or ROLI. ROLI does not actively monitor any activity on its service, but if ROLI becomes aware of any attempts by any entrant or other third party to influence the results of any Competition by the use of bots, botnets, scripts, apps, plugins, extensions or other means, automated or otherwise, to artificially create accounts, or otherwise to misrepresent the usage relating to the Competition, ROLI reserves the right to take action at its discretion including, without limitation, deletion of that user’s account. Any non-compliance with these Rules, Terms of Use or the like may result in the immediate elimination of the entrant from the Competition.
PRIVACY: Entrants agree that personal data submitted by entrant, including name, username, mailing address, phone number, and email address may be collected, processed, stored and otherwise used by Sponsor and its affiliates for the purposes of conducting and administering the Competition. Except as modified in the Publicity section below, all personal information that is collected from the entrant is subject to ROLI’s Privacy Policy.
PUBLICITY: By entering the Competition, entrants agree to participate in any media or promotional activity resulting from the Competition as reasonably requested by ROLI at ROLI’s expense. Entrants agree and consent to use of their name and/or likeness and user name by ROLI. ROLI reserves the right to publish the name and likeness of the winners on the ROLI websites or through other media for publicity purposes. ROLI may disclose the name submitted by the entrant at the time of signing up for the Competition. ROLI reserves the right to alter entered names which may be derogatory or offensive.
RELEASE: By participating in any Competition, You accept and agree to these Rules and the decisions of the Sponsor, which shall be final and binding in all matters. By participating in any Competition, You agree to release and hold ROLI harmless against any and all claims and liability arising, in whole or in part, directly or indirectly, out of participation in the Competition or use or redemption of a prize. The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.
INCORPORATION OF TERMS OF USE: Entrants warrant that they have read, and their participation is in accordance with, the ROLI Terms of Use and these Rules. The Terms of Use, including without limitation, Disclaimer of Warranty; Limitation on Liability; Indemnification; and all other restrictions and terms are expressly incorporated herein. In the event of a conflict between the Terms of Use and Rules, these Rules shall govern.
INTERNET AND DISCLAIMER: ROLI is not responsible for any malfunction of the Competition website, including any system errors, failed, incomplete or garbled computer or other telecommunication transmission malfunctions, hardware or software failures of any kind, lost or unavailable network connections, typographical or system/human errors and failures, or any other technical malfunction(s).
RIGHT TO CANCEL, MODIFY OR DISQUALIFY: If for any reason the Competition is not capable of running as planned, ROLI reserves the right at its sole discretion to cancel, terminate, modify or suspend the Competition. ROLI further reserves the right to disqualify anyone who tampers with the submission process or any other part of the Competition.
WINNER’S LIST: Individuals may request shortlisted names and winners' names (submitted upon signing up for the Competition) by sending an email request to [email protected] by no later than 31 January 2018.
