Prizes subject to promotions promoted by ROLI as described herein (“Promotion”) will be awarded in accordance with these Official Rules (the “Rules”).
BINDING AGREEMENT: You may not participate in the Promotion and are not eligible to receive the prize described in these Rules unless You agree to these Rules and are in compliance with the ROLI Terms of Use, as may be applicable, which are incorporated into these Rules. Please read these Rules and ROLI Terms of Use prior to entry to ensure You understand and agree. You agree that Your participation in the Promotion constitutes agreement to these Rules and ROLI Terms of Use.
Promoter: The Promotion is promoted by ROLI, Ltd., with a business address of 2 Glebe Road, London E8 4BD and its employees, officers, directors and agents (collectively referred to together as "Promoter," and individually referred to as “ROLI”).
ELIGIBILITY: Subject to restrictions herein, the Promotion is open to persons who reside in countries where ROLI ships to, which can be found here, except Promoter and members of the immediate families (parent, child, sibling and spouse and their respective spouses, regardless of where they reside) and households of each, whether related or not related, are not eligible to participate or win a prize in the Promotion. If a Canadian resident wins a prize, that entrant must also answer correctly within a 5 minute time period a mathematical skill-testing question without the benefit of any calculating devices before the prize will be awarded. ROLI reserves the right to disqualify any entrant from the Promotion if it is prohibited in the entrant’s jurisdiction.
HOW TO ENTER—NO PURCHASE NECESSARY TO ENTER OR WIN: To enter the Promotion, visit https://roli.com/competition (“Promotion Page”) and complete the required information and follow instructions. Only one entry per Promotion may be made.
PROMOTION SCHEDULE: The Promotion Period is from December 5th, 2019 through December 31st, 2019. Promotion Schedules are subject to change.
NUMBER OF QUALIFIED ENTRANTS/ODDS OF WINNING: Odds of winning are dependent on the number of entrants. In the event there are fewer than 5 eligible entrants, the Promotion may not take place and there will be no prizes awarded. A purchase will not increase your odds of winning.
NOTIFICATION TO WINNERS: Winners are selected by a random draw. Becoming a winner is subject to validation and verification of eligibility and compliance with these Rules and Terms of Use. If a potential winner is disqualified for any reason or unable to accept the prize, ROLI reserves the right, in its discretion, to award the prize to another qualified entrant. The potential winner(s) will be selected and notified by email within one week of the end of the Promotion.
PRIZES AND APPROXIMATE RETAIL VALUE: The Prize for this Promotion, including approximate values based on the manufacturers’ suggested retail price (MSRP) is described below:
ROLI Seaboard Block Studio Edition (approximate retail value: $349.95).
Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Promoter and are subject to ROLI’s Terms of Use. Prizes which are ROLI subscriptions normally will be awarded within one week of selection of the winner. Hardware prizes are normally shipped within one week of the winner confirming their shipping address. The prizes are non-transferable and no cash alternative is available. No prize transfer, substitution or assignment by winners is permitted. If a prize (or part of a prize) is unavailable, the Promoter, in its discretion, reserves the right to substitute the original prize (or that part of the prize) with an alternative prize to the equal monetary value and/or specification, unless to do so would be prohibited by law.
CHANGES OR ADDITIONS: These Rules are subject to change, and Entrants will be notified on the Promotion Page of any additional rules or changes to these Rules.
TAXES: Awards of prizes to potential winners may be subject to the express requirement that they submit all documentation requested by ROLI to permit it to comply with all applicable state, federal and local tax reporting. If a potential winner fails to provide such documentation or comply with such laws, the prize may be forfeited and ROLI may, in its sole discretion, select an alternate potential winner.
GOVERNING LAW AND JURISDICTION: If you are a UK, EU, EEA or Swiss citizen, these Rules shall be governed by the laws of England and Wales without regard to its conflict of law rules and you consent to the exclusive jurisdiction of the courts located in London, UK. If you are a US citizen, these Rules shall be governed by the laws of New York without regard to its conflict of laws rules and you consent to the exclusive jurisdiction of the state and federal courts located in New York County. If you live outside the US, UK and EU, EEA or Switzerland, you agree to the exclusive laws and jurisdiction of New York. The provisions of the United Nations Convention on the International Sale of Goods shall not apply to this Agreement.
DISQUALIFICATION: ROLI reserves the right to disqualify any entrant from the Promotion if it is prohibited in the entrant’s jurisdiction or, in ROLI’s sole discretion, it reasonably believes that the entrant has attempted to undermine the legitimate operation of the Promotion by cheating, deception, providing false information, engaging in any unfair playing practices or annoys, abuses, threatens or harasses any other entrants, ROLI users or ROLI. ROLI does not actively monitor any activity on its service, but if ROLI becomes aware of any attempts by any entrant or other third party to influence the results of any Promotion by the use of bots, botnets, scripts, apps, plugins, extensions or other means, automated or otherwise, to artificially create accounts, or otherwise to misrepresent the usage relating to the Promotion, ROLI reserves the right to take action at its discretion including, without limitation, deletion of that user’s account. Any non-compliance with these Rules, Terms of Use or the like may result in the immediate elimination of the entrant from the Promotion.
PRIVACY: Entrants agree that personal data submitted by entrant, including name, username, mailing address, phone number, and email address may be collected, processed, stored and otherwise used by Promoter and each of its affiliates for the purposes of conducting and administering the Promotion. Except as modified in the Publicity section below, all personal information that is collected from the entrant is subject to ROLI’s Privacy Policy, with respect to use by ROLI.
PUBLICITY AND LICENSE TO CONTENT: By entering the Promotion, Entrants agree to participate in any media or promotional activity resulting from the Promotion as reasonably requested by Promoter at Promoter’s expense. Entrants agree and consent to use of their name and/or likeness and user name by Promoter. Promoter reserves the right to publish the name and likeness of the winners on the Promoter websites or through other media for publicity purposes. Promoter may disclose the name submitted by the entrant at the time of signing up for the Promotion. Promoter reserves the right to alter entered names which may be derogatory or offensive. In the event the Promotion requires submission of any content or works by entrants (“Entrant Content”), you agree that Promoter may use such Entrant Content for promoting Promoter, including in marketing advertisements. Per the ROLI Terms of Use, you represent and warrant that any Entrant Content you may submit does not infringe on or misappropriate any third party rights, and is compliance with all applicable laws.
15. RELEASE: By participating in any Promotion, You accept and agree to these Rules and the decisions of the Promoter, which shall be final and binding in all matters. By participating in any Promotion, You agree to release and hold ROLI harmless against any and all claims and liability arising, in whole or in part, directly or indirectly, out of participation in the Promotion or use or redemption of a prize. The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.
INCORPORATION OF TERMS OF USE: Entrants warrant that they have read, and their participation is in accordance with, the ROLI Terms of Use and these Rules. The Terms of Use, including without limitation, Disclaimer of Warranty; Limitation on Liability; Indemnification; and all other restrictions and terms are expressly incorporated herein. In the event of a conflict between the Terms of Use and Rules, these Rules shall govern.
INTERNET AND DISCLAIMER: ROLI is not responsible for any malfunction of the Promotion website, including any system errors, failed, incomplete or garbled computer or other telecommunication transmission malfunctions, hardware or software failures of any kind, lost or unavailable network connections, typographical or system/human errors and failures, or any other technical malfunction(s).
RIGHT TO CANCEL, MODIFY OR DISQUALIFY: If for any reason the Promotion is not capable of running as planned, ROLI reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion. ROLI further reserves the right to disqualify anye who tampers with the submission process or any other part of the Promotion.
